Public Offer Agreement for Consulting Services for International Fintech Startups


General Provisions
1.1 This Public Offer Agreement (hereinafter referred to as the "Agreement") is a legally binding offer made by Individual Entrepreneur Andrey Sergeyevich Didenko (hereinafter referred to as the "Service Provider") to any legal entity or individual (hereinafter referred to as the "Client") who accepts the terms and conditions stipulated herein.

1.2 The Agreement governs the provision of legal services (hereinafter referred to as the "Services") for international fintech startups.

1.3 By accepting this Agreement, the Client confirms their understanding and acceptance of its terms and conditions, and agrees to be legally bound by them.

Subject of the Agreement
2.1 The Service Provider undertakes to provide the Services to the Client, and the Client agrees to pay for these Services in accordance with the terms and conditions set forth in this Agreement.

2.2 Scope of Services
The Services may include, but are not limited to:
a) Legal consultation on matters related to the Client's fintech business;
b) Assistance with regulatory compliance;
c) Drafting and review of legal documents and contracts;
d) Intellectual property protection;
e) Legal representation and negotiation with third parties; f) Assistance with obtaining necessary licenses and permits.

Payment
3.3 The cost of the Services shall be determined by the Service Provider and communicated to the Client prior to the commencement of the Services.

3.4 The Client shall make payment for the Services in advance, using a payment method agreed upon by both parties.

3.5 In case of additional Services not initially agreed upon, the Client shall pay the additional fees upon receipt of an invoice from the Service Provider.

Confidentiality
4.1. Both the Service Provider and the Client agree to treat all information exchanged in the course of providing the Services as confidential and to take all necessary measures to protect such information from unauthorized disclosure.

Termination
5.1. Either party may terminate this Agreement by providing written notice to the other party at least 30 days prior to the termination date.

5.2. In the event of termination, the Client shall pay the Service Provider for any Services provided up to the date of termination.

Governing Law and Dispute Resolution
6.1. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the Service Provider is registered.

6.2. Any disputes arising from this Agreement shall be resolved through negotiations between the parties. If the parties are unable to reach a settlement, the dispute shall be resolved through the appropriate court or arbitration, in accordance with the applicable laws.

Acceptance
7.1. The Client accepts the terms and conditions of this Agreement by performing any of the following actions:
a) Sending a written confirmation to the Service Provider; b) Making payment for the Services; c) Requesting the Services from the Service Provider.
